1. Description of Service

FoxReply is an AI-powered lead response automation platform designed for service-based businesses. Our platform automatically captures inbound leads via web forms, SMS, and missed calls, and responds to prospects via SMS and email to qualify leads and facilitate job bookings.

2. Eligibility

You must be at least 18 years old and legally able to enter into contracts to use our Service.

3. Account Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Ensuring your use of the Service complies with applicable laws
• Obtaining proper consent from your customers before sending automated SMS or email communications

4. Acceptable Use

You agree not to use FoxReply to:

• Send unsolicited messages (spam) to any person
• Violate any applicable laws including the TCPA
• Harass, threaten, or deceive any person
• Send messages to individuals who have opted out
• Impersonate any person or entity
• Engage in any fraudulent activity

5. SMS Compliance

If you use FoxReply to send SMS messages you agree to:

• Obtain proper written consent from recipients
• Include opt-out instructions (STOP) in messages
• Honor all opt-out requests promptly
• Comply with TCPA and CTIA guidelines
• Maintain records of consent for all SMS recipients

You are solely responsible for ensuring your SMS communications comply with applicable laws.

6. Payment and Billing

Subscription fees are billed monthly or annually. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days notice.

7. Intellectual Property

All content and features of FoxReply are owned by Wess Management & Consulting and protected by intellectual property laws.

8. Third-Party Services

FoxReply integrates with third-party services including Twilio and Google. Your use of these services is subject to their respective terms and privacy policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXREPLY AND WESS MANAGEMENT & CONSULTING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

11. Indemnification

You agree to indemnify and hold harmless FoxReply and Wess Management & Consulting from any claims or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of California. Any disputes shall be resolved in the courts of Alameda County, California.

14. Changes to Terms

We may update these Terms at any time. Continued use of the Service after changes constitutes acceptance.
